Circle buys USDC distribution with equity and a monthly fee

The stablecoin issuer has priced exchange-level shelf space, and the bill scales with the balances it is meant to grow.

Circle is buying shelf space on Binance, and it is paying in two currencies. The exchange took $100 million of Circle Class A stock — 1.24 million shares at $80.84 each — in a private placement that closed Sept. 17 and surfaced in an SEC filing published Tuesday, as CoinDesk reported, and the purchase came with a five-year expansion of the companies' existing USDC partnership.

The equity is the headline, but the mechanics are in the fee: Circle agreed to pay Binance a monthly incentive calculated as a percentage of the USDC held through Circle's Modular Smart Contract Wallet service, with Binance running promotional activity for the coin. That denominator is balances sitting in Circle's own wallet infrastructure, rather than trading volume or Binance's total USDC book, so the monthly invoice tracks exactly the balance the agreement exists to grow.

Binance cannot sell, transfer or hedge the shares for as long as two years, exceptions aside, though it keeps the right to vote them, and Circle said the $80.84 price reflected a discount to its market value before the sale. The promotion runs five years against a lockup that lasts at most two, which leaves the monthly fee carrying the back half of the agreement.

Binance ends up holding shares it cannot exit and a monthly check tied to the asset those shares are meant to make more valuable, while Circle pays for balances it intends to keep. Neither company has a fixed price for the arrangement, and Circle's cost line moves with the thing it is buying.

PWD has argued that the stablecoin payout layer is a licensing business, and Circle's habit is to buy the pieces it needs with its own stock; September reporting put the price at nine times more in stock to buy such capability outright. The stock is buying something else this time: a distribution contract, priced as a standing share of the balances it produces.

A fee that rises with the balance is a tax on the growth it rewards, and USDC balances on Binance now carry a variable acquisition cost as the pressure comes from instruments that pay their holders. When EDX Markets adopted Figure's yield-bearing YLDS as collateral and treasury in August, the squeeze on zero-yield stablecoin collateral became clear, and Circle is paying for distribution into a market where the alternative to holding USDC increasingly earns a return.

The balance inside the Modular Smart Contract Wallet on Binance is the line the invoice is drawn on, and Circle has put a price on exchange-level distribution; every other venue sitting on USDC balances now has a template for asking.
