SEC pushes Form PF deadline to 2027 while it rebuilds the rule

Managers who build to the old amendments now may pay twice. The SEC is narrowing the rule before it lands.

The SEC voted to push the compliance date for its 2024 Form PF amendments to July 1, 2027, while it reviews comments on a further set of changes proposed after the last extension and continues work toward final text for the private fund reporting form. The agency's statement calls the delay practical and necessary, given the technical nature of the information collection effort, and the follow-on proposal is designed to tailor private fund reporting requirements while ensuring the continued collection of necessary and appropriate information. The reference to 'the last extension' is the SEC's own acknowledgment that the timeline has moved before, and this time the agency is rebuilding the rule before it takes effect.

For private fund advisers—including the digital-asset managers that file Form PF—the 2024 amendments are no longer the safest planning assumption, because systems work and vendor contracts built around the original text could be obsolete by the time the new compliance date arrives. Better to model the tailored proposal, wait for the final text, and hold off on irreversible infrastructure spend until the SEC shows its hand. July 2027 is close enough to force decisions, but far enough that a manager who builds now and gets rebuilt later will have paid twice.

The SEC is choosing precision over speed. Rather than land an unpopular, expansive rule and then unwind it, the agency is using the extension to narrow the form before it bites. A tailored form gives the SEC a cleaner way to collect data from funds whose profiles do not match the traditional private fund mold. The final text of the tailored version is the next milestone, and the funds that cost out that version now will be the ones prepared when it lands.
