Metaplanet just turned Super League into Superplanet, and the renaming does more work than a logo swap: the Japanese bitcoin treasury firm is paying $134.6 million for a 95.7% stake in the renamed company, funding the deal through a preferred-stock issuance collateralized by bitcoin. PWD's tracking puts the transaction at the center of a week in which the corporate bitcoin treasury stopped being a storage story and became a financing story.

The old playbook was simple—buy bitcoin, put it on the balance sheet, wait—and Strategy spent years making it a template. This week it is showing the other side of the ledger: $4.8 billion in dry powder, a retreat from share buybacks, and a turn toward preferred equity. That is not a tweak to the accumulation model; it is a different instrument.

Superplanet's reverse-merger structure

The Metaplanet deal is the new template's practice run: a reverse-merger acquisition financed with preferred stock that keeps the bitcoin position intact while adding an operating business to the vehicle, leaving Super League rebranded as Superplanet under Metaplanet's 95.7% control. Because the route runs through preferred stock, Metaplanet borrows against the coin rather than selling it, preserving the treasury's upside while spreading the capital into a new enterprise.

Preferred stock sits above common equity in the capital stack, which makes a collateralized preferred a conservative way to grow: the issuer gives away no control, dilutes no common, and keeps the treasury's bitcoin exposure. The lender takes the collateral risk, while the common shareholder takes the residual risk after the preferred claim—an ordering that suits a treasury that wants to remain a treasury.

The structure also changes the management problem: a buy-and-hold treasury has no creditors and can ride out price declines, while a collateralized preferred brings a lender into the company's affairs, with loan-to-value thresholds and margin discipline attached. The management team must now manage a financing arrangement backed by a volatile asset—a skill set that will separate the companies that treat bitcoin as an asset from those that treat it as an instrument.
